African Rainbow Minerals founder steps down from executive role

Patrice Motsepe has relinquished his executive responsibilities at African Rainbow Minerals (ARM) in compliance with new governance rules introduced by Johannesburg Stock Exchange (JSE).

Motsepe, who founded the diversified mining group in 2003 and has served as its executive chairman since inception, will transition to the role of non-executive chairman effective February 16, according to a company statement.

The move aligns with new JSE listing requirements that came into effect on Monday, prohibiting board chairpersons from performing executive functions. The rule forms part of broader reforms aimed at strengthening corporate governance standards and simplifying listing frameworks on Africa’s largest stock exchange.

“I look forward to continue contributing to the global competitiveness of ARM in my new capacity as non-executive chairman,” Motsepe said.

The regulatory change reflects the JSE’s push to reinforce the separation between executive management and board oversight, a key principle in modern governance structures.

ARM shares were last trading flat at 15:00 GMT following the announcement.
